Written in 1967 by Bob Crewe and Bob Gaudio of The Four Seasons, Can't Take My Eyes Off You was (one of?) the first single for Frankie Valli where he didn't sing falsetto. It's got a quite unique key change, and a chord that sounds wonderfully discordant, being played with both a major 3rd and minor 3rd in the same chord - at least that's what I'm hearing and playing.
