Minority stockholders of Newport Steel Corporation are suing C. Russell Feldmann and others for allegedly illegally gaining from the sale of their controlling interest in the corporation to Wilport Company. Feldmann had a fiduciary duty to act in the best interest of the corporation and its beneficiaries. The plaintiffs are appealing the dismissal of their complaint. The trial court found that the price of $20 per share was fair for a control block of stock, but did not consider the value without its ability to control the distribution of the corporate product. Feldmann is accused of siphoning off corporate advantages for personal gain during a favorable market situation. The possibility of corporate gain is enough to support the minority stockholders' action against him. Perlman v.
